 Senior Finance Legal Counsel

The Senior Finance Legal Counsel will head the Legal Department and report to the Managing Director.

Role Description

·         The head of the legal department will be responsible for supervising the legal department and ensuring that the company is legally compliant in all respects with the following main functions, amongst others:

·         Provide expert advice, support, and guidance, to the business in respect of any legal related queries or projects

·         Must be highly skilled at drafting, reviewing, and negotiating of a broad range of corporate transactional agreements

·         Provide transactional support (drafting, reviewing, and negotiating of a broad range of corporate transactional agreements) and legal advice to the business on corporate and project finance and capital market transactions

·         Finalize and execute (in conjunction with external advisers and the relevant deal team) all transaction documents in respect of transactions entered by the business, including but not limited to mergers and acquisitions, capital market transactions (equity and debt transactions) etc

·         Issue legal opinions on regulatory, institutional, and financial issues arising from the interpretation and application of the regulations that affect the company and monitor compliance with regulations

·         Communicate, collaborate and negotiate with regulatory authorities and creating relationships of trust

·         Manage the vetting and recommendation of external legal support, ensuring that external advisers are duly and appropriately appointed, and advisors understand the business’s risk appetite

·         Liaises closely with external lawyers on litigation and monitors and evaluates their activities

·         Ensure that the company is compliant with the relevant laws and regulations in the company’s operational sphere and follows all internal processes and procedures

·         Create, administer, and monitors the implementation, and updates company legal related policies and procedures designed to ensure that the organization and its employees comply with required laws and regulations.

·         Research and evaluate different risk factors regarding business decisions and operations. Apply effective risk management techniques and offer proactive advice on possible legal issues/risks

·         Specify internal governance policies and regularly monitor compliance

·         Act as the depository of Legal records, Laws, Regulations, Licenses, Notices, Conventions and Protocols and disseminates the same to relevant arms of the company. 

Qualifications and Experience

·         LLB Qualification with Admission to the Bar (BL)

·         LLM in Corporate Finance or any other relevant finance course will be an advantage

·         Minimum 10-15 years post-qualification corporate commercial experience as in-house Legal Counsel

·         Must have prior law firm experience

Skills

·         Demonstrated experience in Corporate / Project Finance and Deal Structuring

·         Excellent knowledge and understanding of corporate law and procedures

·         Ample experience in Corporate Governance and Compliance

·         Demonstrated influencing and stakeholder management skills

·         Excellent knowledge and understanding of financial regulations

·         High degree of professional ethics and integrity

·         Sound judgement and ability to analyze situations and information

·         Outstanding communication and problem solving skills
